These Terms of Use (“Terms”) form a binding agreement between you and NeuralMind (“NeuralMind”, “we”, “us”) governing your access to and use of our website, applications and related services (the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. You are responsible for the accuracy of your registration information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account.
2. Health and Wellness Disclaimer
NeuralMind is a digital wellness and cognitive training platform provided for educational and recreational purposes only. The Service does not provide medical advice and is not intended to diagnose, treat, cure or prevent any disease or medical condition, including any cognitive or neurological condition. Always seek the advice of a qualified healthcare provider with any questions regarding a medical condition, nutrition or dietary changes. Never disregard professional medical advice because of content you accessed on the Service.
3. Subscriptions and Billing
Certain features require a paid subscription. By purchasing, you authorize us and our payment processors to charge the applicable fees and any taxes to your selected payment method. Subscriptions renew automatically for successive periods until cancelled. You may cancel at any time through your account settings or by contacting support; cancellation takes effect at the end of the current billing period. Prices may change with prior notice.
4. Acceptable Use
You agree not to: (a) copy, resell, sublicense or reverse engineer the Service; (b) use automated means to scrape or access the Service; (c) upload unlawful, infringing, harmful or misleading content; (d) attempt to gain unauthorized access to any systems or accounts; (e) interfere with the operation, security or integrity of the Service; or (f) use the Service in violation of any applicable law or regulation.
5. Intellectual Property
The Service and all content, software, exercises, games, recipes, text, graphics and trademarks are owned by NeuralMind or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.
6. User Content
You retain ownership of content you submit. You grant NeuralMind a worldwide, royalty-free, non-exclusive license to host, store, reproduce and display such content solely to operate and improve the Service. You represent that you have all rights necessary to grant this license.
7. Third-Party Services
The Service may link to or integrate third-party websites and services. We do not control and are not responsible for their content, policies or practices, and your use of them is governed by their own terms.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT IT WILL PRODUCE ANY PARTICULAR RESULT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURALMIND AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless NeuralMind from any claims, damages, liabilities and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
11. Termination
We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or to protect the Service. Provisions that by their nature should survive termination will survive.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute shall be resolved by binding individual arbitration or, where permitted, in small claims court. You and NeuralMind waive the right to participate in a class action or class-wide arbitration.
13. Changes to These Terms
We may modify these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
